These Terms constitute a legally binding agreement between you and Resilient Sustainance Private Limited. If you are accessing or using our services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2.1 Free Tools and Resources
BRSR Compass Assessment: A free online diagnostic tool that evaluates your organisation's readiness against SEBI's BRSR (Business Responsibility and Sustainability Reporting) framework. The assessment generates a readiness scorecard based on your responses.
BRSR Report Generator: A tool to assist in structuring BRSR report content based on user-provided data.
ESG Compliance Calendar: A reference calendar covering 75+ regulatory deadlines across SEBI BRSR, MCA, CPCB, and other Indian ESG frameworks.
GreenCampus Rating: A free sustainability maturity assessment for educational institutions, evaluating campus operations across environmental, social, and governance pillars.
Educational Content: Articles, regulatory updates, guides, and resources related to BRSR compliance, ESG advisory, and sustainability in India.
2.2 Paid Digital Tools
BRSR XBRL Filing Tool: A guided tool for generating SEBI-compliant XBRL-tagged BRSR filings, covering all 195 disclosure fields across the BRSR framework.
Pre-Assurance Validator: A three-tier readiness assessment tool (Basic, Standard, Comprehensive) that evaluates your organisation's preparedness for BRSR Core assurance.
ESG Policy Templates: A library of 18+ downloadable, editable policy and procedure templates aligned with BRSR, GRI, and Indian regulatory requirements.
Workforce ESG Aggregator: A tool for collecting, normalising, and consolidating workforce-related ESG data across business units and subsidiaries.
Water & Waste Tracker: A monitoring and reporting tool for tracking water consumption, waste generation, and related BRSR KPIs.

Value Chain ESG Disclosure: Supplier ESG data collection, normalisation, and consolidated disclosure services.
Training and Capacity Building: Board governance masterclasses, BRSR technical training, and sector-specific workshops.
3. Assessment Tools Disclaimer
All assessment and diagnostic tools provided through our website (including the BRSR Compass, BRSR Report Generator, BRSR XBRL Filing Tool, Pre-Assurance Validator, GreenCampus Rating, Workforce Aggregator, Water & Waste Tracker, and AA1000 Assurance Platform) are provided as informational tools only. Please note the following:
The assessment results are indicative and based solely on the information you provide. They do not constitute a professional audit, assurance, or legal opinion.
The readiness scorecards, reports, and recommendations generated by any tool are for general guidance purposes only and should not be relied upon as a substitute for professional ESG advisory, legal advice, or compliance assessment.
The tools do not guarantee compliance with SEBI's BRSR requirements, AA1000 standards, or any other regulatory framework.
All tools use deterministic, rule-based algorithms to generate outputs. No artificial intelligence or machine learning is used in the scoring or assessment process.
We make no representations or warranties regarding the accuracy, completeness, or suitability of the assessment results for any particular purpose.
You should engage qualified professionals (including, but not limited to, our paid advisory services) for formal BRSR compliance, assurance, and regulatory filings.
4. Payment Terms
4.1 Pricing and Currency
All prices for paid services and tools are quoted in Indian Rupees (INR) unless explicitly stated otherwise. Prices are exclusive of applicable taxes (GST) unless specified. We reserve the right to modify our pricing at any time, though changes will not affect services already contracted or active subscriptions during their current billing period.
4.2 Payment Processing
All payments are processed securely through Razorpay Software Private Limited, our authorised payment gateway. We accept payments via:
Credit and debit cards (Visa, Mastercard, RuPay)
Net banking
UPI (Unified Payments Interface)
Bank transfers (for enterprise engagements)
By making a payment, you agree to Razorpay's terms of service and privacy policy in addition to these Terms.
4.3 Invoicing and Payment Schedule
For advisory and assurance engagements, payment terms will be specified in the engagement letter or statement of work ("SOW"). Unless otherwise agreed:
A non-refundable advance of 25-50% is required before commencement of work.
Remaining payments are due as per milestones defined in the SOW.
Invoices are payable within 15 days of issue.
Late payments may attract interest at 1.5% per month on the outstanding amount.
4.4 Refund Policy
Refunds are governed by the following policy:
Digital Tools (one-time purchase):
If you have not accessed or used the tool output after purchase, you may request a full refund within 24 hours of payment.
Once you have accessed the tool output (e.g., downloaded a report, viewed results), no refund is available, as the digital deliverable has been consumed.
If a tool fails to generate output due to a technical error on our part, you are entitled to a full refund or a replacement output at our discretion.
Professional Advisory Services:
Once work has commenced, fees for completed milestones are non-refundable.
If we are unable to deliver a contracted milestone due to reasons attributable to us, the fees for that milestone will be refunded in full.
Unused portions of advance payments may be refunded upon mutual agreement, less any costs already incurred.
Training Programmes:
Cancellations made more than 7 days before the programme date are eligible for a full refund.
Cancellations within 7 days of the programme date are eligible for credit towards a future programme of equal value, valid for 6 months.
No-shows are not eligible for refunds or credits.
Free Tools and Resources: No payment is involved; no refund applies.
All refund requests must be submitted in writing to india@rsustain.com within the applicable refund window. Approved refunds will be processed to the original payment method within 7-10 business days.
5. Intellectual Property
5.1 Our Intellectual Property
All content on our website, including but not limited to text, graphics, logos, icons, images, assessment methodologies, tools, software, reports, templates, and frameworks, is the property of Resilient Sustainance Private Limited or its licensors and is protected by Indian and international intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our content without our prior written permission.
5.2 Client Deliverables
Reports, analyses, and other deliverables prepared specifically for a client as part of a paid engagement are licensed for the client's internal use upon full payment. The underlying methodologies, frameworks, tools, and templates remain the intellectual property of Resilient Sustainance Private Limited.
5.3 User-Submitted Content
By submitting information through our assessment tools, forms, or other channels, you grant us a non-exclusive, worldwide licence to use such information for the purpose of delivering our services, improving our tools, and generating anonymised, aggregated insights. We will not publicly disclose your identifiable information without your consent.
6. Limitation of Liability
To the maximum extent permitted by applicable law:
Our total liability arising out of or in connection with these Terms or our services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of business opportunity, whether arising from contract, tort, negligence, or otherwise.
We shall not be liable for any regulatory penalties, fines, or enforcement actions arising from your use of or reliance on our free assessment tools or general guidance.
We shall not be liable for any delays or failures in performance caused by circumstances beyond our reasonable control (force majeure), including but not limited to natural disasters, pandemics, government actions, or internet outages.
7. Disclaimer and Warranty
Important: The information provided through our website, assessment tools (including the BRSR Compass, BRSR XBRL Filing Tool, Pre-Assurance Validator, GreenCampus Rating, AA1000 Assurance Platform, and all other tools), and general publications is for informational and educational purposes only. 10. Third-Party Service Providers and Subcontractors
In delivering our services, we may engage third-party service providers and subcontractors, including but not limited to:
Razorpay Software Private Limited: Payment processing and gateway services.
Google LLC: Website analytics (Google Analytics) and productivity tools.
Hosting and infrastructure providers: Server hosting, CDN, domain, and SSL/TLS certificate services.
Professional associates: Subject-matter experts, sector specialists, or regional consultants who may assist in delivering advisory or assurance engagements under our supervision and subject to our confidentiality obligations.
All third-party service providers and subcontractors are bound by contractual obligations regarding data protection, confidentiality, and service quality. We remain responsible for the services delivered to you regardless of subcontractor involvement.
11. Data Retention, Deletion, and Privacy

12. Termination
12.1 Termination by You
You may stop using our website at any time. For paid engagements, termination terms will be governed by the relevant engagement letter or SOW. Early termination of a paid engagement may result in payment for work completed up to the date of termination.
12.2 Termination by Us
We reserve the right to suspend or terminate your access to our website or services, without prior notice, if:
You breach any of these Terms.
We reasonably believe your actions may cause legal liability for us or other users.
We discontinue or materially modify our website or services.
Payment for services is overdue by more than 30 days.
12.3 Effect of Termination
Upon termination, provisions relating to intellectual property, limitation of liability, disclaimer, confidentiality, indemnification, and governing law shall survive.
13. Indemnification
You agree to indemnify, defend, and hold harmless Resilient Sustainance Private Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

14. Governing Law, Dispute Resolution, and Jurisdiction

Before initiating any formal dispute resolution proceedings, the parties agree to attempt to resolve disputes amicably through good-faith negotiation for a period of at least 30 days from the date of written notice of the dispute.
14.2 Arbitration
If the dispute is not resolved through negotiation within 30 days, either party may refer the dispute to binding arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted as follows:
The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties. If the parties cannot agree on an arbitrator within 15 days, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.
The seat and venue of arbitration shall be Mumbai, Maharashtra, India.
The language of arbitration shall be English.
The arbitrator's award shall be final and binding on both parties.
Each party shall bear its own costs of the arbitration, unless the arbitrator directs otherwise.
14.3 Jurisdiction
Notwithstanding the arbitration clause above, either party may seek interim or injunctive relief from the courts. Any disputes not subject to arbitration, or any proceedings to enforce an arbitral award, shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
15. Amendments
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of our website or services after such changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
